Terms of Service

You may use our website for lawful purposes only. You agree not to use it in any way that breaches applicable laws, infringes the rights of others, or interferes with its operation or security. Our Acceptable Use Policy forms part of these Terms and sets out the conduct we expect in more detail.

Any design, development, or consulting services we provide are governed by a separate written agreement, statement of work, or proposal ("Service Agreement"). In the event of a conflict between these Terms and a Service Agreement, the Service Agreement controls for that engagement.

Quotes and estimates provided through our website, including via our cost calculator, are indicative only and do not constitute a binding offer. Final pricing is confirmed in a Service Agreement. See our Disclaimer.

We communicate with clients and prospects by email, WhatsApp, telephone, and — where you have consented — SMS. You choose the channels you are comfortable with, and you can ask us to change or stop using any channel at any time.

We will never ask you to send passwords, API keys, or payment card details by text message or unencrypted email. If you receive a message purporting to be from Xephlo that asks for credentials or payment to an unfamiliar account, do not respond; contact us at info@xephlo.com to verify.

This section describes our text messaging programme. It applies only if you have given consent to receive text messages from us.

Programme description. If you provide your mobile number and consent to receive text messages, you agree to receive SMS messages from Xephlo relating to your enquiry or engagement. Messages may include:

We do not send marketing or promotional text messages. We do not text anyone who has not consented, and we do not send messages on behalf of third parties.

Message frequency. Message frequency varies according to your active enquiries and engagements. You can expect approximately 2 to 8 messages per month.

Cost. Message and data rates may apply. Xephlo does not charge you for these messages; your mobile carrier's standard rates apply. Contact your carrier if you are unsure what those rates are.

How to consent. You may consent by providing your mobile number and ticking the SMS consent box on our contact page; by telling us during a call that we may text you, which we record with a timestamp; or by indicating your contact preferences in a Service Agreement. Consent is specific to the number you provide.

Consent is not a condition of purchase. You are not required to consent to receive text messages in order to enquire, receive a quote, engage Xephlo, or use our website.

How to opt out. You may cancel at any time by replying STOP to any message. We will send a single confirmation message and will not text you again unless you opt in a second time. You may also opt out by emailing info@xephlo.com or telling us on a call. If you change or give up your mobile number, please let us know so we do not message its new holder.

How to get help. Reply HELP to any message, or contact us at info@xephlo.com or +1 (647) 915-7451.

Delivery and carriers. Carriers are not liable for delayed or undelivered messages. Delivery depends on carrier availability, network conditions, and your device. Do not rely on SMS for anything time-critical — see our Disclaimer.

Supported carriers. Messaging is supported on major North American mobile carriers. Availability is subject to carrier participation and may change.

Eligibility. You must be at least 16 years old and the account holder of, or authorised user of, the mobile number you provide.

Privacy. Mobile information is handled as described in our Privacy Policy. No mobile opt-in or text message consent will be shared with third parties or affiliates. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging opt-in data and consent are not shared with any third party other than the aggregators and providers who transmit the messages on our behalf.

The content on this website, including text, graphics, logos, and the Xephlo name and marks, is owned by or licensed to us and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from it without our prior written permission.

Ownership of deliverables created during an engagement is addressed in the applicable Service Agreement.

Our website may reference or link to third-party websites and services, including WhatsApp for communication and third-party telecommunications providers for SMS. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk and subject to their terms.

Our website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Additional notices are set out in our Disclaimer.

To the maximum extent permitted by law, Xephlo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of our website or from any failure, delay, or non-delivery of a message. Liability arising from an engagement is governed by the relevant Service Agreement.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold Xephlo harmless from any claims, damages, or expenses arising from your breach of these Terms or your misuse of our website.

We may update these Terms from time to time. Changes take effect when posted on this page, and your continued use of our website constitutes acceptance of the updated Terms. Where we materially change the SMS programme described in section 04, we will notify enrolled recipients before the change takes effect.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Ontario. Where you are a consumer resident elsewhere, this does not deprive you of any mandatory protections available to you under your local law.
